These Terms and Conditions govern the relationship between Phra Capital and individuals who enquire about, enrol in, or attend our financial education workshops. Please read them with care. By submitting an enquiry or enrolling in a programme, you agree to be bound by these terms.

1. Definitions

Throughout these Terms, the following words carry the meanings set out below:

  • "Phra Capital", "we", "us", "our" — Phra Capital, a financial education provider operating at 312 Asadang Road, Phra Nakhon, Bangkok 10200, Thailand.
  • "Programme" or "Workshop" — any financial education session, series of sessions, or related materials offered by Phra Capital, including the three programmes described on our website.
  • "Participant" or "you" — any individual who enquires about, enrols in, or attends a Phra Capital programme.
  • "Materials" — printed guides, reflection cards, reading lists, worksheets, and any other content produced or supplied by Phra Capital in connection with a programme.
  • "Agreement" — these Terms and Conditions, together with any enrolment confirmation or written correspondence relating to a specific programme.
  • "THB" — Thai Baht, the currency in which all programme fees are denominated.

2. Acceptance of Terms

By submitting an enquiry form, confirming enrolment, or attending a programme, you confirm that:

  • You are at least 18 years of age;
  • You have the legal capacity to enter into this Agreement;
  • You have read and understood these Terms and agree to be bound by them;
  • Where you are enrolling on behalf of another person (for example, a spouse in a couples programme), you confirm that person has also been informed of and agrees to these Terms.

If you do not accept these Terms, we respectfully ask that you do not proceed with enrolment.


3. Service Description

Phra Capital offers financial education workshops for adults aged 40 and over in Bangkok, Thailand. Our programmes are designed to support thoughtful engagement with personal finance — not to constitute financial advice. The three programmes currently offered are:

  • Reading the Bank Statement — A two-session workshop on household cashflow literacy. Fee: 5,350 THB.
  • A Considered Approach to Markets — A three-evening programme on market history and calm financial reading. Fee: 8,400 THB.
  • The Family Conversation Programme — A weekend programme of two sessions on financial conversations within Thai families at 40+. Fee: 11,400 THB.

Programme content, facilitators, dates, and venues are subject to reasonable change. We will communicate any material changes to enrolled participants with reasonable notice.

Our programmes are conducted in Bangkok. We do not currently offer remote or online delivery. Geographic restrictions apply: participation requires physical attendance unless otherwise agreed in writing.


4. Enrolment

4.1 Enquiry and Confirmation

Submitting an enquiry form on our website does not constitute enrolment. Enrolment is confirmed only when Phra Capital issues a written confirmation (by email or letter) and payment has been received in full.

4.2 Places

Programme places are limited. We allocate places on a first-confirmed basis. We cannot hold a place without payment.

4.3 Completion

Participants are encouraged to attend all sessions within a programme. No certificate or formal credential is awarded. If a session is missed due to genuine illness or emergency, we will try to accommodate a catch-up where scheduling allows, but this is not contractually guaranteed.

4.4 Academic Integrity

Our workshops involve the use of your own personal financial documents (redacted of identifying numbers). Participants are asked to handle others' shared information with discretion. Discussion within sessions is confidential; participants agree not to record, share, or publish the contributions of other participants.


5. Participant Responsibilities

As a participant, you agree to:

  • Attend sessions punctually and engage in good faith;
  • Treat facilitators, staff, and fellow participants with courtesy;
  • Bring any required materials as notified in advance;
  • Respect the confidentiality of discussion in group settings;
  • Use our website and communications lawfully and without intent to disrupt;
  • Not represent our Materials as your own work or commercially reproduce them without written permission.

The following conduct is not permitted in our programmes or in any communication with Phra Capital:

  • Recording sessions without the written consent of Phra Capital and all attendees;
  • Sharing or publishing others' personal financial details discussed during sessions;
  • Using our content or brand for commercial purposes;
  • Misrepresenting your identity or qualifications when enrolling;
  • Conduct that disrupts the learning environment for others.

Phra Capital reserves the right to ask a participant to leave a session or withdraw from a programme if conduct causes disruption or harm to others. In such cases, no refund will be given.


6. Intellectual Property

All content produced by Phra Capital — including but not limited to workshop Materials, facilitator notes, printed guides, reflection cards, website content, and reading lists — is the intellectual property of Phra Capital and is protected under Thai copyright law.

Upon enrolment, you are granted a limited, personal, non-transferable licence to use the Materials provided to you for your own private study and reflection. This licence does not permit you to:

  • Reproduce or distribute Materials to third parties;
  • Use Materials for commercial or professional training purposes;
  • Create derivative works based on our Materials without written permission.

If you share your own reflections or written feedback with us, you grant Phra Capital a non-exclusive right to use those contributions in aggregate, anonymised form to improve our programmes.


7. Payment, Cancellation, and Refunds

7.1 Fees and Currency

All fees are denominated in Thai Baht (THB) and are stated inclusive of applicable taxes. Payment is due in full prior to enrolment confirmation. We accept bank transfer and such other methods as communicated at the time of booking.

7.2 Cancellation by Participant

We understand that circumstances change. Our cancellation terms are as follows:

  • More than 14 days before the programme start date: Full refund, less a 500 THB administration fee.
  • 7–14 days before the programme start date: 50% refund of the programme fee.
  • Fewer than 7 days before the programme start date: No refund, though we will try to transfer your place to a future session of the same programme where capacity allows.

To cancel, please contact us at [email protected] with your name and confirmation details. The date we receive your written cancellation determines which tier applies.

7.3 Cancellation by Phra Capital

In the unlikely event that Phra Capital cancels a programme due to insufficient enrolment, facilitator unavailability, or circumstances beyond our reasonable control, we will offer participants either a full refund or a transfer to a future session. We will provide as much notice as practically possible.

7.4 Transfer of Place

You may transfer your confirmed place to another eligible person (aged 18+) with at least 5 days' notice and our written agreement. Please contact us to arrange this.


8. Disclaimers

Phra Capital's programmes are provided for educational purposes only. The content of our workshops, including any discussions of market history, household finance, or family financial planning, does not constitute financial, investment, legal, or tax advice.

We do not recommend specific financial products, investment vehicles, or providers. Participants are encouraged to consult a qualified, licensed financial adviser before making any significant financial decisions.

Our programmes are provided in good faith and with care, but Phra Capital makes no representations that participation will produce specific financial outcomes. Results from applying what is learned will depend on your individual circumstances, decisions, and many factors beyond the scope of our workshops.

Our website and materials are offered as-is. While we take care to keep content accurate and up to date, we do not warrant that all information is complete, current, or free from error.


9. Limitation of Liability

To the fullest extent permitted by applicable Thai law, Phra Capital's liability to any participant arising from or in connection with these Terms, a programme, or any Materials shall not exceed the fee paid by that participant for the relevant programme.

Phra Capital shall not be liable for any indirect, incidental, consequential, or special damages arising from your participation in or reliance upon our programmes or materials. This includes, but is not limited to, loss of income, financial loss, or loss of opportunity.

Nothing in these Terms limits our liability for fraud, death, or personal injury caused by our negligence, or any other liability that cannot be excluded under Thai law.

Force majeure: We shall not be in breach of these Terms for any delay or failure in performance resulting from causes beyond our reasonable control, including natural disaster, public health emergency, government action, or venue closure.


10. Indemnification

You agree to indemnify and hold Phra Capital, its facilitators, staff, and associates harmless from any claims, losses, damages, or costs (including legal fees) arising from your breach of these Terms, your conduct in a programme, or your misuse of our Materials or website. This obligation survives the conclusion of any programme or the termination of this Agreement.


11. Termination

Either party may withdraw from a programme arrangement in accordance with the cancellation provisions in Section 7. Phra Capital additionally reserves the right to withdraw a participant's place at any time if they are found to have breached these Terms or acted in a manner harmful to other participants or staff.

On termination or completion of a programme, the licences granted under Section 6 for Materials already provided continue. All other obligations under these Terms that by nature should survive — including Sections 8, 9, 10, and 12 — shall remain in force.


12. Dispute Resolution

These Terms and any disputes arising from them are governed by the laws of the Kingdom of Thailand. The courts of Bangkok, Thailand shall have exclusive jurisdiction over any disputes that cannot be resolved by other means.

Before initiating any formal proceedings, we ask both parties to make a genuine effort to resolve disputes informally. Please contact us at [email protected] describing the concern, and we will endeavour to respond within 14 working days with a view to reaching a reasonable resolution.

Where informal resolution is not possible, the parties agree to consider mediation under the auspices of the Thai Arbitration Institute before resorting to litigation.


13. General Provisions

13.1 Entire Agreement

These Terms, together with any enrolment confirmation, constitute the entire agreement between Phra Capital and a participant in respect of a programme, and supersede any prior representations or discussions.

13.2 Severability

If any provision of these Terms is found to be unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and all other provisions shall remain in full force.

13.3 Waiver

Our failure to enforce any provision of these Terms on one occasion does not constitute a waiver of that provision or of our right to enforce it on any other occasion.

13.4 Assignment

You may not assign your rights or obligations under these Terms to any third party without our written consent. Phra Capital may assign its rights and obligations in connection with a business transfer or restructuring, provided that your rights as a participant are not materially diminished.

13.5 Notices

Notices under these Terms should be sent to [email protected] or by post to 312 Asadang Road, Phra Nakhon, Bangkok 10200. We will send notices to the email address you provided at the time of enquiry.


14. Changes to These Terms

We may update these Terms from time to time to reflect changes in our programmes, applicable law, or our operating practices. When we do, we will update the "Last updated" date at the top of this page.

For participants already enrolled in a programme, any material changes will be communicated by email before taking effect. Continued use of our website or attendance at a programme following notice of changes constitutes acceptance of the revised Terms.
